Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and Flowacts ("Flowacts," "we," "us," or "our") regarding your access to and use of the Services. Please read them carefully.
1. Our Services
Flowacts provides an AI-powered spatial canvas for turning prompts, uploaded materials, and user instructions into interactive projects, pages, document nodes, mind maps, flowcharts, timelines, slide decks, tables, data charts, and related collaborative outputs (the "Services"). The Services may include websites, hosted applications, workspace features, billing pages, APIs, integrations, and any related support or documentation that link to these Terms.
The Services are general-purpose productivity and collaboration tools. They are not designed to meet industry-specific regulatory requirements such as HIPAA, FISMA, GLBA, PCI-DSS, or similar frameworks unless we expressly agree otherwise in a separate written agreement. You are responsible for determining whether the Services are appropriate for your intended use and for complying with laws that apply to your content and use case.
2. Eligibility and Acceptance
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Services. If you do not agree to these Terms, you must not access or use the Services.
3. Accounts and Security
You may need to create an account to initialize projects, run AI tasks, invite collaborators, or manage subscriptions. You agree to provide accurate account information, keep it current, protect your login credentials, and promptly notify us of unauthorized use.
You are responsible for all activity under your account, including activity by invited collaborators, guests, or anyone using your credentials. We may suspend, reclaim, or modify usernames, workspace identifiers, or other account labels that are misleading, infringing, offensive, or operationally problematic.
4. Workspace Ownership, Sharing, and Collaboration
Projects and pages are controlled by the account or workspace that creates them unless your organization has configured different ownership or administrative rules. A project creator may invite active collaborators, share read-only links, or remove access, subject to the limits of the applicable plan.
When you invite collaborators or generate shared links, you are responsible for the content and permissions you expose. Collaborators may view, edit, generate, export, or otherwise interact with workspace content according to the permissions you grant and the functionality available in the Services.
For shared projects, eligible credit usage is deducted from the project creator's balance unless the product interface or a separate written agreement states otherwise.
5. Your Content and AI Outputs
You retain ownership of the prompts, instructions, files, data, text, images, documents, spreadsheets, and other materials you submit to the Services ("Input"). Subject to your compliance with these Terms, Flowacts claims no ownership over the AI-generated outputs, canvas structures, project deliverables, exported documents, charts, slides, or node networks produced for you through the Services ("Output").
You grant Flowacts a limited, worldwide, non-exclusive license to host, store, reproduce, display, transmit, parse, cache, transform, and otherwise process your Input and Output solely as necessary to provide, secure, maintain, support, and improve the Services, comply with law, and enforce these Terms.
You are responsible for ensuring that you have the rights and permissions needed to submit Input and use Output. Output may not be unique, and similar or identical output may be generated for other users. You should independently review and verify Output before relying on it, publishing it, or using it in business, legal, medical, financial, employment, academic, or other high-impact contexts.
Flowacts does not use your private workspace content to train public foundation models unless you expressly opt in or direct us to do so. We may use de-identified, aggregated, or telemetry-level data to understand product performance, improve routing, debug issues, and maintain service quality.
6. Feedback
If you send us ideas, suggestions, bug reports, or feedback, you grant Flowacts a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation. This does not transfer ownership of your private workspace content to us.
7. Subscriptions, Billing, and Payment
Paid subscriptions are billed through our third-party payment processor, currently Stripe. By purchasing a plan, you authorize us and our payment processor to charge your payment method for subscription fees, renewals, taxes, and other applicable charges.
Flowacts may offer Free, Starter, Pro, Ultra, enterprise, promotional, or other plans. Plan features, prices, collaborator limits, credit amounts, response priority, and export options are described on our pricing pages or in the product interface and may change prospectively.
Unless required by law or stated in a separate written refund policy, payments are non-refundable and subscriptions renew automatically until canceled. If you cancel, you may continue to use paid features until the end of the current billing period, after which your account may revert to Free plan limits.
Annual billing, if available, may include a discounted annual equivalent rate compared with monthly billing. Taxes may be added where required.
8. Credits and Usage Limits
Certain AI operations, including complex generation, parsing, research, charting, slide creation, or multi-step execution, may consume credits. Text-only chat, basic highlighting, or other lightweight actions may be free where indicated in the product interface.
Credits may include daily refresh credits, monthly plan credits, promotional credits, or other balances. Unless otherwise stated, daily refresh credits do not roll over, monthly plan credits reset on the stated schedule, and promotional credits may be subject to expiration or additional conditions.
Credits have no cash value, are not legal tender, are not transferable, and are not refundable. Flowacts may adjust credit accounting, usage rates, reset timing, or abuse controls to preserve service reliability, correct errors, or reflect product changes.
9. Acceptable Use
You may use the Services only for lawful, authorized, and intended purposes. You agree not to:
- copy, scrape, harvest, crawl, or systematically extract data from the Services without written permission;
- bypass seat limits, collaborator limits, credits, rate limits, access controls, billing controls, or security measures;
- share credentials or create accounts to evade plan limits or enforcement actions;
- reverse engineer, decompile, disassemble, benchmark for competitive purposes, or attempt to discover non-public source code, models, prompts, infrastructure, or algorithms;
- upload malware, corrupted files, malicious macros, exploit payloads, or content that interferes with the Services;
- submit content that infringes rights, violates law, defames others, invades privacy, or promotes fraud, abuse, exploitation, harassment, or unlawful discrimination;
- use Output as the sole basis for decisions with legal, financial, medical, employment, housing, credit, education, or similarly significant effects without appropriate human review and compliance safeguards;
- use the Services to build a competing product or to resell, sublicense, or commercially exploit the Services except as expressly allowed by us.
10. Third-Party Services and Integrations
The Services may rely on or connect to third-party services, including payment processors, cloud infrastructure, authentication providers, analytics tools, productivity applications, and AI model providers. Your use of third-party services may be governed by separate terms and privacy policies.
Flowacts is not responsible for third-party services, their content, their availability, or their handling of data except as required by applicable law or a separate written agreement.
11. Service Management and Changes
We may monitor usage, investigate suspected violations, throttle or block abusive activity, remove or restrict content, limit excessively large files or workflows, and take other steps to protect users, the Services, and Flowacts.
We may modify, suspend, discontinue, or update features, pricing, plans, credits, models, integrations, user interface elements, or availability at any time. We will try to provide reasonable notice of material changes when practical, but we do not guarantee that any feature will remain available indefinitely.
12. Privacy and Security
Our Privacy Policy explains how we collect, use, share, and protect personal information. By using the Services, you acknowledge that we process information as described in that Privacy Policy.
We use reasonable technical and organizational measures designed to protect information we process, but no internet service or storage system is completely secure. You are responsible for exporting and backing up important work where appropriate.
13. Termination
These Terms remain in effect while you use the Services. You may stop using the Services at any time, and you may request account deletion through the support channels described in our Privacy Policy.
We may suspend or terminate your access if we believe you violated these Terms, created risk or legal exposure, failed to pay amounts due, or used the Services in a way that may harm Flowacts, users, third parties, or the Services. If your account is terminated for violations, you may not create another account without our written permission.
14. AI, Accuracy, and Professional Review
The Services use automated systems and AI models that may produce inaccurate, incomplete, outdated, biased, offensive, or unexpected Output. Flowacts does not guarantee that Output is correct, complete, unique, lawful, or suitable for your intended purpose.
You are responsible for evaluating Output and applying appropriate human judgment. The Services do not provide legal, medical, financial, tax, compliance, engineering, or other professional advice.
15. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWACTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, compatible with all files or browsers, or that any Output will meet your requirements.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWACTS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWACTS' TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO FLOWACTS FOR THE SERVICES DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
You agree to defend, indemnify, and hold harmless Flowacts, its affiliates, and their respective directors, officers, employees, contractors, and agents from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your Input, Output, use of the Services, violation of these Terms, violation of law, or infringement of third-party rights.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Before filing a claim, you and Flowacts agree to try to resolve the dispute informally for at least thirty (30) days after written notice. If the dispute is not resolved, either party may bring a claim in binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or equitable relief in court for intellectual property misuse, unauthorized access, or security abuse.
Disputes must be brought on an individual basis. You and Flowacts waive any right to participate in a class action, class arbitration, private attorney general action, or representative proceeding to the fullest extent permitted by law.
19. Copyright and Intellectual Property Complaints
If you believe content available through the Services infringes your copyright or other rights, contact us with enough detail to identify the material and your rights. We may remove or restrict allegedly infringing content and may terminate repeat infringers where appropriate.
20. Electronic Communications
You consent to receive notices, disclosures, receipts, policy updates, and other communications electronically, including by email, in-product notice, or posting on our website. Electronic communications satisfy any legal requirement that such communications be in writing.
21. California Users and Residents
California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
22. Miscellaneous
These Terms, together with policies and plan terms that link to them, form the entire agreement between you and Flowacts regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Flowacts may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
